Inission AB (“Inission”) has entered into an agreement to acquire 100 percent of the shares in Bavaria Digital Technik GmbH, an EMS company based in Pfronten, Germany. The acquisition marks Inission’s entry into the German market and represents a step in the company’s continued expansion in Europe.

Today, Inission has reached an agreement with the insolvency administrator of AD Capital to acquire Bavaria Digital Technik GmbH. The agreement was signed on 15 October 2026, with closing scheduled for 2 November 2026.

The purchase price amounts to 5.3 MEUR. The purchase price corresponds to an enterprise value (EV) of 5.8 times average EBITDA for 2023–2025. The acquisition will be financed through an acquisition loan of 2.65 MEUR.

Bavaria Digital Technik GmbH (BDT) is an EMS company founded in 1969 and based in Pfronten, Germany. The company has approximately 110 employees and a well-diversified customer base in industrial automation, medical technology and energy.

In 2025, BDT generated revenue of approximately 20 MEUR and reported EBITDA of 1.25 MEUR. The acquisition is expected to contribute annual revenue of approximately 17 MEUR to Inission. Strategic rationale
The acquisition is part of Inission’s strategy for profitable growth through acquisitions and marks the company’s entry into the German EMS market. BDT is a strong fit with Inission’s existing operations and customer portfolio.

As part of Inission, BDT will gain access to a larger network, increased resources and opportunities for continued growth under a shared brand, while maintaining its local presence.
